TERMS & CONDITIONS FOR UDTS® ROBO TRADE & ALGO SCREENERS

1. Acceptance of Terms

By accessing, registering, or using UDTS® ROBO TRADE, UDTS® Screeners, or any services (“Platform”), you confirm that you have read, understood, and agreed to these Terms & Conditions, along with the Disclaimer and User Consent.

If you do not agree, you must discontinue use immediately.

2. Nature of Services

The Platform provides algorithm-based analytical tools, stock screeners, and data-driven insights for informational and educational purposes only.

We do NOT provide:

  • Investment advice
  • Stock recommendations
  • Portfolio management services
  • Assured returns or profit guarantees

Use of the Platform does NOT create any advisory or client relationship.

3. Eligibility

You must:

  • Be at least 18 years old
  • Be legally capable of entering into a binding agreement
  • Comply with all applicable laws and regulations

4. User Responsibilities

You agree that:

  • All decisions (trading/investing) are made at your own discretion
  • You will not rely solely on the Platform for financial decisions
  • You will verify all data independently before acting

You are responsible for:

  • Maintaining confidentiality of login credentials
  • All activities under your account

5. Prohibited Use

You shall NOT:

  • Use the Platform for unlawful or unauthorized purposes
  • Resell, redistribute, or commercially exploit the software
  • Represent the Platform as advisory or recommendation service
  • Reverse engineer, copy, or misuse algorithms or data

6. Data & Accuracy

The Platform uses automated systems and third-party data sources.

We do not guarantee:

  • Accuracy
  • Completeness
  • Reliability
  • Timeliness

Data may contain errors or delays. Users must independently verify all information.

7. Risk Disclosure

You acknowledge that:

  • Stock market trading involves significant risk
  • Loss of capital is possible
  • Past performance does not guarantee future results

You agree to use the Platform at your own risk.

8. Algorithmic / System Risk

You understand risks including:

  • Technical glitches or downtime
  • Internet / connectivity failures
  • Exchange or broker-related issues
  • API/data feed disruptions

We are not responsible for execution failures or delays.

9. Intellectual Property

All content, software, algorithms, branding, and materials are the exclusive property of ALGO SCREENERS.

You may not:

  • Copy, modify, distribute, or reproduce any part without permission

10. Fees & Payments

  • All fees (if applicable) are non-refundable unless stated otherwise
  • We reserve the right to change pricing at any time

11. Limitation of Liability

To the maximum extent permitted by law:

ALGO SCREENERS shall NOT be liable for:

  • Any financial losses
  • Trading/investment losses
  • Loss of data or profits
  • Indirect or consequential damages

Total liability (if any) shall not exceed the amount paid by the user.

12. Indemnification

You agree to indemnify and hold harmless ALGO SCREENERS, its directors, employees, and affiliates from any claims, damages, or losses arising from:

  • Your use of the Platform
  • Violation of these Terms
  • Misuse of services

13. Suspension & Termination

We reserve the right to:

  • Suspend or terminate access without prior notice
  • Restrict usage if misuse or violation is detected

14. Modifications to Terms

15. Third-Party Services

We are not responsible for:

17. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

Jurisdiction: Courts of Delhi / NCR.

18. No Waiver

Failure to enforce any provision shall not constitute a waiver of rights.

19. Severability

If any provision is held invalid, remaining provisions shall continue in full force.

20. Entire Agreement

These Terms, along with Disclaimer & Consent, constitute the entire agreement between user and ALGO SCREENERS.
